First Meeting of the Pre-Convention Committee For the XXIX National Convention of Western Fraternal Life Association October 26, 2018 Teleconference

The 2018 quadrennial Pre-Convention Committee meeting of Western Fraternal Life Association was held on Friday, October 26, 2018 by teleconference and at the Home Office, Cedar Rapids, IA. Chairperson Ken Zajicek called business to order at 8:32 a.m. and welcomed all committee members to the Pre-Convention Committee meeting for the upcoming 29th National Convention.

Committee member and guest introductions followed. Committee members are as follows: Jo Ann Parks, Katie Janette, Darrell Kotas, Ken Zajicek, Larry Kotval, Galen Spinler, Karen Rasmussen, Katrina Evans, Robert Ladiski, Karen Ryba, and Othelia Vacura. Virginia Wilts and Gilberta Racek were absent.

Guests included Association President Craig Van Dyke, Chairman of the Board Duane Jirik, and Todd Martin, General Counsel for the American Fraternal Alliance. An invitation from Chairperson Ken Zajicek was given to Executive Secretary Cheri Reider to aid Committee Secretary Larry Kotval in recording the proceedings of the meeting. Committee members granted this request.

Katrina Evans made a motion to accept the agenda as presented. Galen Spinler seconded the motion and the motion passed.

PROPOSED BYLAW CHANGES:

Chairperson Ken Zajicek read the first submission: “I submit the following bylaw change: Article VII Pre-Convention Committee, Section 43, a) Strike April 1st and change to January 1st. Fraternally, Ken Zajicek, Lodge 85, location Protivin, IA.

Discussion on the proposed bylaw change was open to the floor. Karen Rasmussen made a motion to amend the proposed bylaw change to read “For amendment or change in Articles and Bylaws. Bylaw changes or amendments must be submitted to the Pre-Convention Committee by January 1st of the Convention year.” Jo Ann Parks seconded the motion and the motion carried.

Chairperson Ken Zajicek read the next bylaw submission: “I submit the following bylaw change: Article VII Pre-Convention Committee, Section 46, e) Strike the first shall not be more than 12 months nor less than 6 months before the opening day of the Convention and replace with; The first meeting shall be after January 1st in year of the Convention. Fraternally, Ken Zajicek, Lodge 85, location Protivin, IA.

Discussion was open to the floor. Othelia Vacura made a motion to accept the bylaw change as presented. Karen Ryba seconded the motion and the motion carried.

Chairperson Ken Zajicek read the next bylaw submission: “I submit the following bylaw change: Article VII Pre-Convention Committee, Section 46, a) Strike no lodge shall have more than one Pre-Convention Committee member and replace with; A lodge in any district may have more than one Pre-Convention member elected only where there are no members of other lodges in that district that are willing or able to be elected to the Pre-Convention committee. Discussion was open to the floor. Robert Ladiski made a motion to accept the bylaw change as presented. Galen Spinler seconded the motion and the motion carried.

Chairperson Ken Zajicek read the next bylaw submission: “I submit the following bylaw change: Article II Membership Insurance, Section 3, b) Social members strike - New social members will no longer be admitted unless there are extenuating circumstances with the approval of the Board. Social members shall have no voice or vote in Association corporate or insurance affairs, nor shall they be eligible for election as lodge officers or delegates or to vote in elections thereof. They may be appointed to social committees within the lodge and replace with; Social members – a person age 16 or more who has been accepted and approved in accordance with eligibility rules as determined by Board of Directors. Social members may participate in all lodge functions but shall have no voice or vote in Association corporate or insurance affairs, nor shall they be eligible for election as lodge officers or delegates or vote in elections thereof. They shall not be eligible to receive member benefits provided to members owning Western insurance products. They may be appointed and serve as leaders of social committees within the Lodge. Social members may change membership type at a later date. Fraternally, Kevin Simpson, Lodge 7, location Cedar Rapids, IA.

Discussion was open to the floor. Othelia Vacura made a motion to accept the bylaw change as presented. Karen Rasmussen seconded the motion and the motion carried.
The meeting recessed at 9:42 a.m. for a break. The meeting reconvened at 9:52 a.m.

DIRECTORS FEES:

Othelia Vacura made a motion to increase the Director’s fees by a total of $2,000, increasing over four years by $500. Galen Spinler seconded the motion and the motion carried.

SUGGESTED CONTRIBUTIONS:

No formal requests were submitted prior to this meeting. Katrina Evans submitted request for a onetime donation for $1,000 to the Texas Czech Heritage & Cultural Center in La Grange, TX, Katie Janette requested a donation of a total of $4,000, paying $1,000 each year over four years to the Bohemian School House, in association with Racine Heritage Museum in Racine, WI, a suggestion was made to keep the donation of $1,000 to Nebraska Czech Language Foundation in NE, and a onetime donation of $1,600 to the Center for Czech Education and Culture, Seattle, WA.

RECOMMENDED ORDER OF BUSINESS AND SPECIAL RULES FOR THE TWENTY-NINTH NATIONAL CONVENTION: Ken Zajicek suggested after the meal on Wednesday, before the Convention starts there are breakout sessions split up by districts with their Director and their Pre-Convention Committee members leading discussion about what bylaw proposals will be presented at the Convention.

Katrina Evans made a motion to approve the Recommended Order of Business and Special Rules as presented. Jo Ann Parks seconded the motion and the motion carried.
With no more business to discuss, the meeting was adjourned at 10:34 a.m.
